Terms of Service

By accessing or using the website, applications, client portal, or any services provided by Intellectual Licensing & Capital Group ("ILG," "we," "us," or "our") at ilgcap.net (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and ILG. By creating an account, making a payment, or otherwise using the Service, you represent that you have the legal authority to enter into this agreement and that you accept these Terms on behalf of yourself or any entity you represent.

ILG provides the following services through the Service:

• Patent licensing and intellectual property monetization advisory
• Business startup consulting
• Manufacturing and sourcing advisory
• Mergers and acquisitions (M&A) advisory
• AI-powered patent analysis and valuation tools
• Client portal with project management features
• Online booking and scheduling
• Subscription-based access to tools and services

The information and services provided through the Service are for informational and business advisory purposes only. To access certain features of the Service, you may be required to create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information during registration and keep your account information up to date
• Maintain the security and confidentiality of your login credentials and not share your account with others
• Notify ILG immediately of any unauthorized use of your account or any other breach of security
• Accept responsibility for all activities that occur under your account
• Use the Service only for lawful purposes and in compliance with these Terms and all applicable laws and regulations

You may not use the Service to engage in any activity that is illegal, fraudulent, deceptive, or harmful to ILG or other users. ILG reserves the right to suspend or terminate any account that violates these Terms.

ILG offers subscription-based access to its services through tiered plans. By subscribing to a paid plan, you agree to the following:

• Billing: Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan) through our payment processor, Stripe. You authorize ILG and Stripe to charge your designated payment method for all applicable fees.
• Automatic Renewal: Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through the client portal or by contacting ILG.
• Price Changes: ILG reserves the right to modify subscription pricing. You will be notified of any price changes at least 30 days in advance. Continued use of the Service after a price change constitutes acceptance of the new pricing.
• Refunds: Subscription fees are generally non-refundable except as required by applicable law. If you cancel your subscription, you will continue to have access to paid features through the end of your current billing period.
• Success Fees: Certain advisory engagements may include a success fee component based on results achieved. Success fee terms will be outlined in a separate engagement agreement between you and ILG.
• Taxes: You are responsible for all applicable taxes associated with your subscription and any services rendered.

ILG Content

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, software, tools, AI models, data compilations, and the overall design and arrangement of the Service, are owned by ILG or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service or its content without prior written consent from ILG.

User-Submitted Content

You retain ownership of any content, documents, patent information, or other materials you submit through the Service ("User Content"). By submitting User Content, you grant ILG a non-exclusive, worldwide, royalty-free license to use, process, store, and display your User Content solely for the purpose of providing the Service to you. This license terminates when you delete your User Content or close your account, except where retention is required by law or legitimate business purposes.

You represent and warrant that you have the right to submit all User Content and that such content does not infringe upon the intellectual property rights of any third party.

ILG offers AI-powered tools including patent analysis, valuation estimates, and other automated assessments. By using these tools, you acknowledge and agree to the following:

• AI-generated results are provided for informational and educational purposes only and should not be relied upon as legal, financial, or investment advice.
• AI analysis may contain errors, inaccuracies, or incomplete information. Results are estimates and projections, not guarantees of outcomes.
• You should independently verify all AI-generated analysis and consult with qualified professionals before making business, legal, or financial decisions based on such analysis.
• ILG does not guarantee the accuracy, reliability, or completeness of any AI-generated output.
• Patent valuations and licensing revenue projections are estimates based on available data and algorithms. Actual results may differ materially from any projections.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ILG, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF ILG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL ILG'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO ILG IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

ILG does not guarantee any specific results, licensing revenue, business outcomes, or return on investment from the use of the Service. All advisory services and tools are provided on an "as-is" and "as-available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

You agree to indemnify, defend, and hold harmless ILG, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any User Content you submit through the Service; or (e) your infringement or misappropriation of any third party's intellectual property or other rights.

ILG reserves the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of fees
• Extended periods of inactivity
• Conduct that ILG reasonably believes is harmful to the Service, its users, or ILG's business interests

You may terminate your account at any time by contacting ILG or through the client portal settings. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, limitation of liability, indemnification, and governing law.

ILG will make reasonable efforts to allow you to export your User Content prior to account deletion. After account termination, ILG may retain certain data as required by law or for legitimate business purposes.

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in Larimer County, Colorado, and you consent to the personal jurisdiction of such courts.

Before initiating any formal legal action, you agree to first attempt to resolve any dispute informally by contacting ILG at ip@ilgcap.net. ILG will attempt to resolve the dispute informally within thirty (30) days. If the dispute cannot be resolved informally, either party may then proceed with formal legal action.

ILG reserves the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you via email or through the Service.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may cancel your account.
